Phil Kim advises clients on complex healthcare transactions and regulatory matters. He represents a broad spectrum of healthcare industry participants – including health systems and hospitals, physician networks, ambulatory surgery centers, pharmacies (including Section 503B compounding pharmacies), home health and hospice providers, digital health companies, and private equity firms – in buy-side and sell-side mergers and acquisitions, joint ventures, and strategic affiliations. Phil has led regulatory legal teams on some of the industry’s largest deals, including multi-billion-dollar healthcare acquisitions, and is known for his ability to integrate regulatory compliance into practical deal-making
Beyond the traditional healthcare sectors, Phil is at the forefront of health technology innovation, advising telehealth providers and AI-enabled, data-driven healthcare platform companies on emerging regulatory challenges and guiding large technology companies as they enter the healthcare market through strategic collaborations (such as agreements for wearable health devices). He also represents life sciences clients – including biotechnology, medical device, and pharmaceutical companies – in capital markets transactions and industry-specific compliance matters.
Phil provides day-to-day regulatory counsel on compliance and risk management for healthcare businesses. He regularly advises on the Stark Law, the Anti-Kickback Statute, HIPAA/HITECH privacy, state healthcare laws, and corporate practice of medicine restrictions. He is experienced in structuring physician-alignment arrangements such as management services organization (MSO) and affiliated professional entity (PC) models to achieve business goals within complex regulatory frameworks. In addition, he negotiates a broad range of healthcare contracts – from professional services and affiliation agreements to leases and business associate agreements – ensuring operational arrangements comply with applicable law.
As a complement to his transactional and advisory practice, Phil has been seconded in-house and has served as an interim Chief Legal Officer and interim Chief Compliance Officer for healthcare organizations, giving him first-hand insight into aligning legal requirements with operational realities. This hands-on perspective reinforces his reputation for translating complex regulatory risks into practical solutions that facilitate compliant growth and innovation across the healthcare sector.
