Investment Funds & Private Equity

Michal is a partner and key team member of Herzg's investment funds practice.

Michal specialises in the formation of various types of investment funds, including, venture capital funds, private equity funds, growth funds, hedge funds, real estate funds, debt funds, and funds of funds, providing them with legal advice in the structuring and forming of the funds as well as on their ongoing operations. As part of her work, Michal assists funds in all work relating to the formation, including advising on structure, drafting all fund documents, negotiating with fund investors (including drafting side letters), and coordinating with oversees lawyers in cases where the funds are formed in jurisdictions outside of Israel. Michal also represents some of the largest institutional investors in Israel as well as private investors, including high net worth individuals, in their investments in all types of Israeli and foreign investments funds, including in their position as anchor investors in such funds.

In addition, Michal leads the work on the taxation of funds, including receiving tax rulings from the Israeli Tax Authority for venture capital funds, private equity funds, and hedge funds. Michal’s experience obtaining rulings for funds and her familiarity with the Israeli Tax Authority enables her to seek appropriate solutions for specific tax issues and obtain special tax arrangements fitting each fund’s needs.

Michal’s clients include, among others, Sphera Funds, Northwind Group, Vgames, Hyperwise Ventures, Blackstone, FreshFund, Apexus, Sweetwood, Altshuler Shaham’s group of hedge funds, Rakia Capital, NFX, AWZ Ventures, Phoenix, Clal Insurance Company, Grove Ventures, and Arkin funds and family office.

Prior to joining Herzog, Michal worked for over five years in the KPMG Somekh Chaikin Tax Department.
