Michael Katz is the Co-Chair of Willkie’s Executive Compensation & Employee Benefits Department. He represents public and private companies on matters involving executive compensation and employee benefits matters, including employment and severance agreements, equity and cash-based incentive compensation arrangements, retirement and deferred compensation plans and change in control and retention programs. His practice is principally focused on the executive compensation and employee benefits aspects of corporate transactions, such as mergers, acquisitions, and divestitures, with an emphasis on private equity transactions. He also represents compensation committees and senior executives in the negotiation of employment and severance agreements.
