Joanne, part of Ogier’s Investment Funds, Regulatory and Corporate teams in the Cayman Islands, advises many of the team’s most prestigious clients. She is regularly praised by clients for being responsive, knowledgeable about Cayman Islands law and able to grapple with unusual fund structures.
Joanne advises hedge funds, hybrid funds and private equity funds, top tier investment managers, PE sponsors, spin-off and start-up managers, fund administrators and the full range of fund service providers on fund launches, investment management formation and ongoing legal and regulatory compliance and termination. A funds regulatory expert, Joanne also specialises in the Cayman Islands anti-money laundering regime and is a member of Cayman Finance's AML specialist body.
As part of Ogier's multi-disciplinary Private Equity team, Joanne has extensive experience in fund formation and capital raising. Her practice also includes LP advisory work, regularly representing, and negotiating on behalf of, institutional investors that are investing in Cayman Islands private equity fund structures.
Joanne also has extensive experience advising on a broad range of international corporate transactions including mergers and acquisitions, IPOs, rights issues, private placements, sukuk issues and restructurings. Joanne advised Goldman Sachs International as arranger and lead manager on the issue of its first ever sukuk, which raised $500 million.
Joanne joined Ogier from Hogan Lovells' Corporate Group in London. During her time at Hogan Lovells, Joanne was seconded to the Hong Kong office and to Lloyds Banking Group, where she oversaw and facilitated The Bank of Scotland banking transfer.
Joanne holds a Master of Arts in Jurisprudence from Oxford University (Pembroke College) and obtained her Diploma in Legal Practice with distinction.
Joanne is a member of the Cayman Islands Financial Services Legislation Sub-Committee, is on the Board of the Education Committee of 100 Women in Finance , served on the Hedge Funds Care Committee of Hope and is a regular speaker at, or organiser of, industry events and conferences.
