Work Highlights

Cross-border Investment and M&A

Jia Hui has provided legal advisory services for numerous landmark cross-border investment, merger and acquisition projects. Representative engagements include advising Sinoma International on its acquisition of German enterprise Hazemag; assisting China National Heavy Duty Truck Group with its investment layouts in Pakistan and Vietnam as well as its heavy-duty truck investment project in Brazil; supporting China Animal Husbandry Group in acquiring a New Zealand beef and mutton processing enterprise; counseling Sound Global Limited on its proposed acquisition of a Portuguese waste treatment enterprise; and offering legal services to China Railway Materials for setting up its branch in Brazil.

Jia Hui also advised Sichuan Guodong Construction on its planned acquisition of an Italian enterprise, assisted China National Tobacco Corporation and its subsidiaries with M&A transactions in Brazil, and supported China National Gold Group in its major overseas acquisition deals. In addition, Jia Hui acted as legal counsel for China Development Bank Xinjiang Branch on a gold mine financing project in Kyrgyzstan, advised Sinoma International Overseas Industrial Development Company on a Turkish EPC project, and provided professional advice to CITIC Pacific Special Steel Group on cross-border labor law affairs covering seven jurisdictions.

Other key mandates undertaken by Jia Hui include offering legal services to New Hope Liuhe Co., Ltd. for its joint venture projects in Germany and France, compiling North America (U.S. and Canada) investment country reports and Belt and Road research reports as legal counsel for the Beijing Lawyers Association, and advising PetroChina on cross-border oil asset M&A projects spanning Canada, Kazakhstan, Libya, Algeria, Equatorial Guinea and other countries.

Insurance

Jia Hui acts as perennial legal counsel for prominent institutional clients including PICC Property and Casualty Company Limited, Shanghai Insurance Exchange and China Life Reinsurance Company. Jia Hui has advised Great Wall Wealth Asset Management on formulating its internal compliance manual, assisted China National Heavy Duty Truck Group with the establishment of Earth Village Insurance Brokerage Company, and counseled Bainian Life Insurance Co., Ltd. on its equity investment in Yingtan Dingxin Yongchun Investment Co., Ltd.

Furthermore, Jia Hui supported Yunnan Urban Investment Group in acquiring a Korean insurance institution, represented Swire Group in a third-party liability insurance claim dispute against Chubb Insurance, and provided professional consulting on reinsurance contract matters for China Life Reinsurance Company. Jia Hui also offered advisory services to Zurich Insurance regarding directors’ liability insurance policies for a domestic Sino-foreign cooperative enterprise, provided compliance consultation to Xin’an Auto Insurance on the disposal of salvage assets, and represented Union Life Insurance in handling disputes arising from critical illness insurance claims.
