Ms. Yang has more than 15 years of experience in cross-border investment and project finance, cross-border mergers and acquisitions (M&A), aviation and shipping, banking and finance, litigation and arbitration, bankruptcy. She has served as the leading counsel for a number of landmark cross-border investment and project finance transactions. Her experience covers a wide variety of industries, including aviation, shipping, real estate, electricity, manufacturing, automobile, machinery, new energy, petrochemical, technology, international trade and financial services.

Career

Ms. Yang joined DeHeng Law Offices as a partner in 2022. Before joining DeHeng, she worked in Supreme People's Court of the PRC, Fried Frank Harris Shriver & Jacobson LLP (Hong Kong Office), and JunHe LLP respectively for more than ten years. She has rich experience in cross-border investment and project finance, cross-border mergers and acquisitions (M&A), Aviation and shipping, banking and finance, litigation and arbitration.

Aviation/Shipping Finance and Leasing

Advised various banks (including ICBC, CCB, BOC, BNP Paribas, Calyon, Societe Generale, ING, Natixis, RBS, HSBC, BTMU, HSH Nordbank AG, NordLB, DBS, DVB、Citibank etc.) in their aviation financing lease with Chinese airlines

Advised various foreign lessors (including ACG, AerCap, BBAM, Nomura Babcock & Brown Co., Ltd., PK AirFinance, BOC Aviation, RBS Aerospace, CALC, Macquarie Air Finance Ltd., ILFC, Avolon, GAAM, Air Lease Corporation， Waypoint Leasing etc.) in their operating leases of aircraft and helicopters with Chinese airlines and general aviation operators.

Advised various Chinese leasing companies in their purchase, leasing and financing of aircraft, corporate jets, engines and aircraft materials and acquisition of aircraft portfolio.

Advised various Chinese airlines in their purchase, leasing, lease novation, financing, disposal of aircrafts, engines and aircraft materials.

Advised China Development Bank Hainan Branch in the financing of certain container vessels for Hong Kong SPVs set up by HNA Group

Advised Bank of China Financial Leasing in its ship financial lease with Chongqing Changjiang golden cruise Co., Ltd.

Advised Minsheng Financial Leasing in its ship leasing assets securitization project.

Cross-Boarder Finance and Project Finance

Advised the lenders of the syndicated loan (including Industrial and Commercial Bank of China Limited, China Construction Bank, Agricultural Bank of China Limited, Bank of China Limited and Bank of Communications Co., Ltd.) in the financing of a Propylene Oxide and Methyl Tertiary Butyl Ether Project developed by a joint venture company between Sinopec and Huntsman.

Advised the lenders of the syndicated loan (including Industrial and Commercial Bank of China Limited, Bank of China Limited, Agricultural Bank of China Limited, China Construction Bank Limited and Sinopec Finance Co. Ltd.) in the financing of a world class Cumene and Phenol/Acetone complex as well as related utilities developed by a joint venture company between Sinopec and Ineos.

Advised the Export-Import Bank of China Jiangsu Branch in the export credit financing for a Bangladesh stated-owned power generation company.

Advised China Development Bank Xinjiang Branch in the financing of equipment, construction of power stations and highways in Mid-Asia.

Advised SDHS in the financing of construction of road project in South Sudan and Kenya.

Dispute Resolution and Bankruptcy

Represented many foreign leasing companies in their aircraft leasing disputes with certain Chinese Airlines

Represented certain domestic banks in their aircraft financing disputes with certain Chinese leasing companies

Represented many banks and leasing companies in their applications for creditor's rights on the bankruptcy and reorganization of Hainan Airlines
