Attorney Yuan (Eric) LI, as a senior partner of DeHeng Shanghai Law Office , attorney LI has more than 16 years of experience in the field of capital markets, particularly excelling at dealing with corporate securities legal affairs of domestic enterprises such as IPOs, M&As, refinancing, and private equity funds. He has performed well in A-share IPO projects, recognised by having participated in and successfully guided dozens of companies to complete the IPO, covering many industries such as semiconductor, medical care, new energy and high-end manufacturing.

In addition, attorney LI has accumulated a large number of successful cases in refinancing, corporate M&As, issuance of bonds and private equity funds, fully demonstrating his professional ability and comprehensive literacy. He is also qualified as an independent director of a company listed on the Shanghai Stock Exchange and has served as an independent director of a number of companies, providing strong support for steady corporate development.

Served as lead counsel for the A-share IPO projects of numerous enterprises, including Shanghai Longcheer Technology, Jiangsu Weidao Nano, Suzhou Kechuan Electronic Technology, Baowu Carbon Industry, Shandong Keyuan Pharmaceutical, Anhui Sentai WPC Group, Hubei Heyuan Gas, Shanghai Electric Wind Power Group, Beijing Jingwei Hengrun, Yuweng Information Technology, among others.

M&A Projects of Listed Companies

Served as lead counsel for multiple M&A projects, including:

Asset acquisition by Beijing InfoSec Century via share issuance and cash payment;

Asset acquisition with supporting fundraising by Shanghai Haoyuan Pharma through share issuance and cash payment;

Exemption from mandatory tender offer for Zhonglu B by Shandong State-owned Investment Holding;

Equity acquisition of Xuanli Energy Conservation and Environmental Protection by Tianshun Wind Energy;

Acquisition of Haigao Communication by Wuxi Xinhongtai;

Acquisition of Urumqi 100MWp photovoltaic power generation project, Inner Mongolia Hangjin Rear Banner 30MWp & 20MWp photovoltaic power generation projects, and a 200MW wind power project in Gansu by Luneng New Energy Group, a wholly-owned subsidiary of State Grid Corporation of China.

Refinancing Projects of Listed Companies

Served as lead counsel for various refinancing projects:

Public issuance of convertible corporate bonds by Jiangsu Sanfangxiang New Materials;

Private placement of RMB 800 million worth of shares by Zhongtong Bus;

Private placement of A-shares by Tianshun Wind Energy;

Public issuance of RMB 2 billion corporate bonds by Tianshun Wind Energy;

Public issuance of RMB 10.3 billion corporate bonds by China Eastern Airlines.

Asset Securitization Projects

Served as lead counsel for multiple asset securitization projects, including:

Gojin – Zhonglian Lituo Phase I Asset-Backed Securities;

Minsheng – Zhonglian Lituo Phase I & Phase II Asset-Backed Securities (ABS);
