Gerald M Griffith

Gerry Griffith has represented clients in health care transactions, nonprofit governance, tax planning and tax controversies, and health care regulatory compliance matters for more than 40 years. His transactional practice focuses on complex, cutting-edge affiliations, including minority interest deals, joint operating agreements (JOAs), other joint ventures (domestic and international), member substitutions and acquisitions. In the tax area, Gerry has represented dozens of organizations in high-stakes IRS audits, multi-million-dollar refund litigation and seeking a declaratory judgment on tax-exempt status under IRC 7428. He has also obtained several favorable determination letters and private letter rulings from the IRS, including the first ruling approving a nonprofit hospital JOA and the only private letter ruling ever issued on IRC 4958 disqualified person status. Gerry’s nonprofit governance experience includes advising boards and committees on executive and physician compensation, board structure and operations, fiduciary duties and regulatory compliance. In the transactional space, Gerry represents clients in whole hospital and service line affiliations, system formation, mergers, physician practice acquisitions and structuring academic medical center relationships with faculty physicians. Gerry’s health care regulatory compliance work includes restructuring hospital-physician transactions and advising on regulatory strategy in defending government investigations and qui tam complaints for alleged Stark Law violations.
