Elliot Gluck

Elliot J. Gluck is a partner in the Asset Management Department of Willkie Farr & Gallagher LLP. Elliot’s practice focuses on representing registered funds, their investment advisers and their boards in a broad array of corporate and regulatory matters. He has significant experience with a wide variety of regulated fund structures, including interval funds, tender offer funds, listed closed-end funds, exchange-traded funds (ETFs) and mutual funds. Elliot regularly counsels clients on the organization and operation of registered investment companies, including with respect to innovative and novel products and strategies. He advises registered funds and their boards on a wide range of complex regulatory, compliance and corporate governance matters. Elliot has deep experience representing listed closed-end funds and their boards on strategic matters, such as addressing share price discounts, dealing with activist investors and proxy contests. He also regularly assists regulated funds in capital markets transactions, including IPOs, at-the-market programs, rights offerings and preferred stock offerings.

Elliot has significant transactional experience, regularly counseling asset managers on public/private strategic collaborations, mergers and acquisitions of asset management companies, registered fund mergers and fund adoptions. He also advises investment advisers in a broad array of matters, including new product development, investment advisory/wrap fee programs and regulatory compliance.
