Career
Bruce MacNeil is a partner in the banking & finance team of Ogier's Jersey office. He has represented a wide range of banks, lenders and companies on banking, derivatives, corporate, finance and restructuring transactions. He also advises on leveraged finance transactions, restructuring & insolvency matters and high yield listings on The International Stock Exchange (TISE). Before joining Ogier in 2008, he worked as a finance associate in the London offices of Latham & Watkins and Allen & Overy.
Bruce MacNeil is part of Ogier's multi-disciplinary Restructuring & Insolvency team. He specialises in refinancing, corporate restructuring and reorganisation and formal insolvency procedures. His experience includes advising lenders and sponsors on security enforcement, directors' duties and insolvency issues in the context of distressed corporate groups.
Bruce is also part of Ogier's multi-disciplinary Private Equity team. He specialises in the following:
Advising financial institutions and private equity sponsors on leveraged finance and acquisition financing transactions
Acting as sponsor in respect of listing notes on The International Stock Exchange (TISE) and Cayman Stock Exchange (CSX) to take advantage of the quoted Eurobond exemption
Advice in relation to subscription credit and capital call facilities entered into by funds (including reviewing borrowing and security restrictions in fund constitutional documents)
Restructuring advice for creditors, insolvency office holders, directors, shareholders and other stakeholders of distressed funds and portfolio companies
Bruce studied law at University College London and is a member of The Law Society of England and Wales. He qualified as an English Solicitor in 2003, was admitted to practice as a New York Attorney in 2009 and qualified as a Jersey Advocate in 2013.
Publications
Bruce is the author of the Jersey ISDA and ICMA netting and collateral opinions, various client briefings and the Jersey chapter of The Acquisition and Leveraged Finance Review. He is also the co-author of two PLC articles. The first on the new Security Interests (Jersey) Law provides a comparison of the Security Interests (Jersey) Law 1983 to the new law and describes the main changes which came into force in January 2014. The second is entitled 'Court and out of court restructuring options in Jersey and Guernsey’ and provides an overview of insolvency procedures under Guernsey and Jersey law.
