Brian counsels companies on issues relating to corporate governance and the federal securities laws, including: novel and complex disclosure, compliance and accounting issues, filings with the SEC (such as public offers, proxies and interpretive requests), activist shareholders, board investigations and resolving Enforcement inquiries from the SEC.
