Specializes in the representation of private equity firms (and their portfolio companies) and public companies in mergers and acquisitions, investments, joint ventures, recapitalizations and other corporate transactions. Regularly counsel clients on corporate governance, shareholder activism and general corporate and securities law matters. Representations include Blackstone in numerous transactions, including its $3 billion acquisition of a majority stake in MagicLab, its acquisition with CPPIB of Ascend Learning, its acquisition with Corsair Capital of a majority stake in First Eagle, its sale of HealthMarkets to UnitedHealth, its investment in Crocs and its acquisitions of Vungle, Gates Corporation, and Travelport; BC Partners its acquisitions of GFL Environmental, Waste Industries, NAVEX, and Chewy, Inc.; Microsoft Corporation in multiple transactions, including its $28.2 billion acquisition of LinkedIn, and its acquisitions of Nokia Corporation’s phone business, Skype, and GitHub; Genesee & Wyoming in several acquisitions and in its $8.4 billion sale to affiliates of Brookfield Infrastructure and GIC; and Blue Buffalo Pet Products in connection with its $8 billion sale to General Mills.
