Annette Weber's prac­tice focus for cap­it­al mar­ket trans­ac­tions includes a broad spec­trum of equity cap­it­al mar­ket trans­ac­tions, such as ini­tial pub­lic offer­ings, rights offer­ings, spin-offs or private place­ments as well as debt cap­it­al mar­ket trans­ac­tions, includ­ing bonds, con­vert­ible bonds as well as hybrid and reg­u­lat­ory cap­it­al instru­ments. She rep­res­ents both issuers and banks. Annette prac­tice also cov­ers sus­tain­able cap­it­al mar­kets issuances. In addi­tion, Annette advises on cross-bor­der acquis­i­tions and joint ven­tures. Another focus of her work is on cor­por­ate and secur­it­ies laws and cor­por­ate governance matters pertaining to listed companies.

Recent work highlights include advising Credit Suisse and UBS on the first Swiss SPAC IPO, Cembra Money Bank on the placement of senior unsecured bonds, Credit Suisse and UBS in the IPO of medmix, Goldman Sachs, Jefferies and ZKB in a combined offering on the placement of shares and EUR 145 million green guaranteed senior unsecured convertible bonds of Meyer Burger and Novartis on the offering of sustainability-linked bonds. In M&A, she advised Cummins on its joint venture with Eaton and Walgreens on the acquisition of Alliance Boots.
