Main Areas Of Practice:

Banking & Finance:
The firm represents international and Mexican banks and other financial intermediaries in secured and unsecured, non-recourse (asset-backed), bilateral and syndicated lending transactions of different levels of complexity involving Mexican obligors or assets. The firm’s steady presence in the market has allowed it to participate in all phases of the credit cycle, including origination in bull markets as well as restructuring in the context of regional or global crises. The firm’s banking and finance team also advises international and domestic banks, as well as industry organisations such as ISDA and the Mexican Banking Association in their derivatives work in Mexico.

Capital Markets:
The firm represents international and local broker dealers and investment banks as well as issuers in private and public offerings of debt and equity securities by Mexican issuers both in the Mexican and international markets and non-Mexican issuers in the Mexican market. The firm’s expertise covers both equity and debt offerings, including corporate bond offerings, complex asset securitisations, bank capitalisation notes, capital development certificates, and real estate trust certificates issued by FIBRAs. The firm also specialises in the establishment and operation of investment funds.

Corporate Governance & Compliance:
The firm has advised Mexican and international clients in connection to their corporate practices relating to their Mexican operations. It has a strong practice through which the firm advises companies and their shareholders to develop and implement compliance programs and corporate governance mechanisms seeking to effectively mitigate legal and regulatory risks in Mexico. The firm has strong capabilities to provide advice and support with respect to investigations initiated in Mexico and abroad pursuant to Mexican and international anti-corruption statutes.

Financial Institutions:
The firm has participated in the incorporation of most of the financial affiliates (banking and broker dealers) of foreign financial institutions currently established in Mexico. The firm also has broad experience in the establishment of representative offices of foreign financial institutions in Mexico and investments by foreign financial entities in existing Mexican financial institutions. The firm continues to act as Mexican counsel to such clients in respect of regulatory issues that arise in the operation of the Mexican financial institutions or representative offices.

Mergers & Acquisitions:
The firm advises purchasers and sellers (including local and international private equity firms) in mergers and acquisitions involving publicly traded and private companies in Mexico as well as in respect of sales of cash flow generating assets located in Mexico. The firm has structured and implemented transactions of varying degrees of complexity (including public tender offers, corporate reorganisations and combinations and leveraged acquisitions) involving companies engaged in a wide variety of activities as well as different types of assets located throughout Mexico. The firm’s mergers and acquisitions group provides advice to its clients in connection with a great variety of Mexican antitrust issues, including merger control and unfair competition cases.

Energy & Infrastructure Project:
The firm has advised sponsors and consortiums in all stages of the implementation of their projects in Mexico. The firm has acted for lenders (including private lenders and multilaterals) as well as sponsors in the structuring and implementation of project finance transactions related to independent power production, energy self-supply, water treatment facilities, co-generation, gas transportation and storage facilities, toll-road projects, reconfiguration of refineries and infrastructure and energy projects in general, including a recent shift towards renewables.

Real Estate:
The firm represents developers, lenders and private equity investors in connection with real estate projects involving all asset classes. The firm has vast experience representing real estate investment trusts in their equity and debt investments in Mexico and is familiar with the various tax and regulatory issues that arise in connection with such investments. The firm is actively involved in the formation of private and public real estate funds in Mexico.

The firm has been a leader in major corporate restructurings, having participated in some of the largest and most complex national and cross-border restructurings and insolvencies that have arisen in Mexico. The firm has successfully reorganised businesses in the fields of aviation, satellite communications, housing and real estate development, industrial production and telecommunications, dealing with complex antitrust, derivatives and complex financial structures.

Aircraft & Equipment Finance:
The firm has significant experience and proven expertise in all aspects of aviation law. It represents clients in the development of Mexican airport infrastructure and in the pursuit of corporate strategies in this sector and delivers advice for the financing of aircraft objects and space assets.

Alternative Dispute Resolution:
The firm has developed a solid reputation in the field of institutional and ad-hoc mediation and arbitration. Partners have chaired international panels under the ICC Court of Arbitration and acted in Mexican administered arbitrations and mediations.

Environmental & Social Impact:
The environmental and social impact group is fully integrated with all other practice areas. Services are focused on environmental, regulatory and sociocultural aspects of energy, industrial, infrastructure and real estate projects.

The firm has a multidiciplinary tax practice that provides targeted advice in transactions within all other practice areas. The firm is active in structuring and implementing tax efficient solutions. The firm also participates in tax diligence in mergers and acquisitions, transfer pricing analysis and the review of taw implications of financial models.
