Main Areas of Practice:

Banking, Finance & Capital Markets:

The team is constantly involved in the biggest, most sophisticated and innovative transactions in the Peruvian and LATAM market. The team has a unique experience in banking regulation, as they have participated in the formation of 5 Peruvian banks in the last 15 years; more than any other law firm in Peru. Its experience in international capital markets is unparalleled, as they have participated in 45 international offerings of senior and subordinated notes in the last 20 years; that in almost 70% of all such transactions performed in the Peruvian market. In the last 5 years the team has participated in transactions with an aggregate value of more than US$ 30 billion.

Bankruptcy:

The firm’s practice is naturally creditor-oriented and has acquired an international focus, representing clients in cross-border insolvency cases carried out in Peru. The firm also has relevant experience in distressed acquisition of companies and assets.

Competition/Antitrust:

The firm is involved in the majority of price fixing cases followed by Peruvian Competition Agencies in several markets (telecommunications, transportation, energy). The competition team also has important experience in procedures against public authorities for the elimination of illegal or irrational bureaucratic barriers that affect competitiveness.

Corporate/Mergers & Acquisition:

From 2015 to mid-2019 the firm advised on around 65 high-end and/or complex M&A deals, including all the market’s headline deals. The firm is highly active in cross-border deals and stands out for its experience as lead counsel in regional cross-border M&A deals and increasing role as strategic advisor to its Peruvian clients in their growth and internationalisation processes.

Dispute Resolution:

The firm has the largest department in the country, with over 25 lawyers, including six partners and two counsels, dedicated to dispute resolution, handling more than 300 proceedings, including litigation before all levels of Peruvian courts, as well as local and international arbitration. The firm is a pioneer in international investment arbitration and continuously advises foreign investors in ICSID arbitration.

Environment:

The firm stands out for its expertise in matters relating to projects, such as land management issues including water rights, sites of archaeological interest, natural reserves and zoning, as well as litigation.

Labour & Employment:

Miranda & Amado is clearly the market leader in labour law. Its team is comprised of 12 fully qualified lawyers, including two partners and two senior counsels. Most of the members of the team have been with the firm for several years, handling some of the most high profile cases in Peru. The team handles the entire range of non-contentious and contentious labour and employment matters, with a special focus on collective bargaining processes and complex litigation. Projects & Natural Resources:

The firm has advised on major mining, oil and gas, power and infrastructure projects and related transactions. It is a top choice for projects that have never been tried before in Peru, currently advising on the largest infrastructure project ever in Peru and the first project of its kind in the oil and gas sector.

Real Estate:

The firm is regularly called upon to provide legal opinions on complicated real estate issues. It advises on permits and licences, due diligence, and stands out for its experience with the development of real estate projects and the sale, purchase and lease of commercial property.

Regulatory:

The firm has a comprehensive and fully integrated approach to regulation, bringing together the expertise of its highly specialised practice groups in key areas such as electricity, oil and gas, mining, telecoms, infrastructure projects, administrative law, competition and dispute resolution.

Tax:

The tax department assists clients with sophisticated tax structures, complex cross-border transactions and litigation before all levels of the Courts, including highly sensitive litigation against the tax authority SUNAT.
