M&A:
Advice in an array of M&A transactions includes purchases and sales of minority or controlling shareholder positions, as well as assets in public and private companies and businesses, negotiated and leveraged acquisitions, and private and public bidding processes. On the private equity front, the firm represents venture capital and private equity investment funds in fund formation, the structuring of investment and management vehicles, investments and acquisitions of target entities, as well as in liquidity events.

Banking & Finance:
Advice in domestic and cross-border financings and in the structuring of security packages, including single bank and syndicated financing, acquisition financing, structured financing and project financing. The firm also provides advice in regulatory matters and in the establishment and operation of representative offices and subsidiaries of financial institutions and incorporation and regulatory advice to Mexican financial institutions, including banks, Sofomes and Sofipos.

Capital Markets:
Advice to issuers, underwriters and global coordinators in all types of capital markets transactions, including private and public offerings for the sale, purchase or subscription of securities, whether initial, secondary or combined CKD’s and real estate investment funds, as well as to companies listed in the Mexican Stock Exchange in compliance and corporate governance aspects.

Tax:
Advice in tax aspects of local and international M&A and private equity transactions and the incorporation of local and foreign funds, representation before tax authorities in administrative and judicial procedures, whether local or federal, including appeals and constitutionality review proceedings (amparo). The tax practice also provides advice in transfer pricing and foreign trade matters involving trade remedy practices (antidumping and countervailing proceedings), tariff classification and country of origin determination.

Labour & Employment:
Advice in all kinds of labour and social security matters, including negotiation of individual and collective bargaining agreements, and structuring stock option plans, compensation and benefit plans and internal labour regulations; as well as representation before the federal and local labour boards.

Real Estate:
