Personal
Ms. Yuanyuan Zhu specializes in securities litigation, securities compliance, and corporate litigation. She has represented dozens of securities companies, listed companies, and their persons in charge in response to civil compensation litigation arising from securities misrepresentation, most notably, China's first case that applied securities dispute model judgment mechanism, first civil compensation suit for securities misrepresentation filed by a non-public offering subscriber, and first share repurchase dispute arising from delisting. Many cases Ms. Zhu represented were selected as China's "Top 10 Events in Chinese Business Law", "Top 10 Influential Lawsuits of the Year", "Top 10 Civil, Administrative, and National Compensation Cases", and "Top 10 Commercial Cases of the People's Courts".
Ms. Zhu has provided comprehensive legal services for dozens of clients, including securities compliance consulting, responding to regulatory investigations and penalties, and administrative reviews. Her work covers a wide range of domains, including information disclosure violations, insider trading, market manipulation, irregular shareholding increases or reductions, and failure to exercise due diligence. She has advised on many high-profile mandates, exemplified by China's first case of ETF manipulation, first case of market manipulation by the NEEQ market maker, and first case where a technical service provider was suspected of illegally operating securities business.
Ms. Zhu's professional strengths are also prominent in handling various types of commercial disputes arising from corporate governance and operation, including disputes over the validity of corporate resolutions, equity transfer, control of companies, valuation adjustment mechanism, etc.
