Troy Pocaluyko is a partner at Wildeboer Dellelce LLP practising corporate and securities law, with an emphasis on corporate finance, mergers and acquisitions and private equity mandates. Troy represents a number of public and private companies in a broad spectrum of industries, including manufacturing, construction, automotive, consumer goods, technology, natural resources and real estate. In addition, he regularly acts for investment dealers, financial institutions, private equity and venture capital firms and merchant banks. Troy frequently counsels participants in both domestic and cross-border public offerings and private financings, merger and acquisition transactions, friendly and contested take-over bids, proxy fights, corporate restructurings and reorganizations, as well as issuers and their directors with respect to corporate governance matters.

• Acted for NEO in its acquisition by Cboe Global Markets, Inc., a leading provider of global market infrastructure and tradable products.

• Acted for Framework Venture Partners in numerous transactions including the formation of its second venture capital fund and its investments in Countingup, Paper Education Company, MaxSold, CarDoor, FlipGivve and Hypatos.

• Acted for the shareholders of New Directions Aromatics Inc. in connection with its sale to New York-based private equity firm, TruArc Partners.

• Acted for certain of the selling shareholders with respect to Wattpad Corp.’s US$600 million acquisition by Naver Corporation.

• Acted for the selling shareholders of Plant Powered Ventures Ltd. and Fresh Since 1999 in their acquisition by Recipe Unlimited Corporation, Canada’s largest full-service restaurant company.

• Acted for Market Square Equity Partners in connection with the sale of its portfolio companies Clean Water Works Inc. and Ontario Excavac Inc.
