Jeff Hergott is a partner at Wildeboer Dellelce LLP practising in the areas of corporate finance, mergers and acquisitions and corporate commercial law. Jeff has experience representing issuers, investment dealers and other stakeholders in a wide variety of capital markets and M&A transactions. He regularly advises clients on both public offerings and private placements of equity and debt securities.

Jeff’s M&A experience includes advising clients in respect of public and private share and asset acquisitions, mergers, takeovers and joint ventures and also includes advising clients in connection with going-public transactions. Jeff also routinely works with start-up and growth companies through all segments of their life cycle from formation, through various rounds of financings and eventual exits via capital market transactions or private sales. Jeff takes a collaborative approach to working with entrepreneurs.

Jeff represents a range of cannabis industry participants including licensed producers and applicants, retail participants and a range of ancillary service providers. Jeff has acted as lead counsel in a variety of transactions, including advising Tokyo Smoke with its early stage financings, through its public listing and ultimately its sale to Canopy Growth Corporation.

Firm mandates that Jeff has been involved with include:

• Represented Ridout & Maybee LLP in connection with its Definitive Agreement to be Acquired by IPH Limited and to join Smart & Biggar.

• Acted for The Flowr Corporation in its $35 million sale of subsidiary Holigen Holdings to Akanda Corp. and Cannahealth Limited.

• Acted as Canadian legal counsel to each of Terra Vida and the Licensee in US$125 million acquisition.

• Acted for Apothecanna in its acquisition by HempFusion Wellness Inc. for US$25 million.

• Acted for Irwin Naturals Inc., a leading herbal supplement company in the United States and a large distributor of CBD products in mass-market and health food chain stores, in its reverse takeover transaction by Datinvest International Ltd.

• Acted for the The Flowr Corporation, a Toronto-headquartered cannabis company with operations in Canada and Portugal, in its $15.9 million bought deal financing, at-the-market financing and a private placement and various commercial agreements.

• Acting for a number of private federally licensed producers and provincially regulated cannabis retailers.

• Acted for the agents in GABY Inc.’s $12.5 million financing in connection with the US$36.5 million acquisition of California’s mankind dispensary.

• Acted for the underwriters in Harvest One Cannabis Inc., a uniquely positioned cannabis-infused CPG leader, in its $5.75 million bought deal public offering.
