Steven A. Seidman is Co-Chair of the Corporate & Financial Services Department and a member of the firm’s Executive Committee. Steve’s practice focuses on mergers and acquisitions, corporate governance advice and private equity investments. Steve was recognized by The American Lawyer as one of its “Dealmakers of the Year” in both 2024 and 2015. His experience includes representing Metropolis Technologies, Inc. in its approximately $1.5 billion take-private acquisition of SP Plus Corporation; Alleghany Corporation in its $11.6 billion acquisition by Berkshire Hathaway; The Special Committee of the Board of AmTrust Financial Services, Inc. in the sale to Stone Point Capital, the CEO and the Karfunkel Family; BofA Securities as financial advisor to South Jersey Industries, Inc. in its sale for approximately $8.1 billion; Stone Point Capital in the formation of an independent Managing General Agency with AIG; Atlas Holdings in its acquisitions of LSC Communications and International Wire Group Holdings; Capital Senior Living in its recapitalization and successful proxy contest; BofA Securities and Morgan Stanley & Co. LLC as financial advisors to Kansas City Southern in KCS’s $31 billion combination with Canadian Pacific Railway Limited; Allied World in its $4.9 billion sale to Fairfax Financial; and Men's Wearhouse in its unsolicited “pac-man” acquisition of Jos. A Bank.
