His experience includes representing Atlas Holdings in its take-private acquisition of Office Depot; Metropolis Technologies in its approximately $1.5 billion take-private acquisition of SP Plus Corporation; Alleghany Corporation in its $11.6 billion acquisition by Berkshire Hathaway; The Special Committee of the Board of AmTrust Financial Services, Inc. in a sale to Stone Point Capital and Amtrust management; Goldman Sachs as financial advisor to Elme Communities in its sale; Solomon Partners as financial advisor to the Special Committee of Sirius XM in connection with its split-off by Liberty Media; BofA Securities and Morgan Stanley & Co. as financial advisors to Kansas City Southern in KCS’s $31 billion combination with Canadian Pacific Railway; Stone Point Capital in the formation of an independent Managing General Agency with AIG; Atlas Holdings in its acquisitions of LSC Communications and International Wire Group Holdings; Capital Senior Living in its recapitalization and successful proxy contest; Allied World in its $4.9 billion sale to Fairfax Financial; and Men's Wearhouse in its unsolicited “Pac-Man” acquisition of Jos. A Bank.
