Acts as lead counsel for a number of public clients that have been involved in mergers, acquisitions, take-over bids (both hostile and friendly), proxy fights, going-private transactions, spin-off transactions, corporate finance and corporate governance matters. Frequently acts as counsel for special committees of boards of directors. Practice also includes assisting mining clients in the negotiation of joint ventures, farm-in agreements and the financing of exploration and development projects, both domestically and internationally. Member of the Foundation for Natural Resources and Energy Law and the Prospectors and Developers Association of Canada (Securities Section).
