Marc A. Feller is Of Counsel in Dilworth Paxson LLP's Public Finance practice, where he draws on more than 45 years with the firm and over 50 years in practice to advise on complex bond, tax, and infrastructure matters.

Marc's public finance practice has centered on Pennsylvania municipalities and public authorities, spanning economic development financings, water and sewer system monetizations, waste-to-energy facilities, and toll road revenue financings. He represented the City of Allentown in developing a Neighborhood Improvement Zone and financing a downtown sports arena and convention center, and later in the long-term lease of the City's water and sewer systems. He has represented numerous other Pennsylvania municipalities, including McKeesport, Cheltenham Township, Limerick Township, Springfield Township, and Tredyffrin Township, in the sale of their sewer systems, and guided Montgomery County through the multi-decade financing and refinancing of a municipal waste-to-energy facility.

Marc has also served as Bond Counsel in long-term parking lease financings in Harrisburg and Scranton, developed a subordinate bond structure enabling the Pennsylvania Turnpike Commission to fund state road and transit projects under Acts 44 and 89, and served as Bond Counsel Disclosure and Underwriters Counsel on the Commission's toll revenue, oil franchise tax, and registration fee financings. His higher education finance work includes serving as Bond Counsel to Temple University Health System, Neumann University, and the nonprofit student housing organization for West Chester University in 501(c)(3) financings and refinancings. He also advises issuers on IRS examinations of municipal bonds involving arbitrage, rebate, and private use issues, and has represented issuers in debt restructurings, including through Chapter 11 proceedings and pre-bankruptcy forbearance arrangements.

Marc's standing in the public finance bar is reflected in his election as a Fellow of the American College of Bond Counsel and his membership in the National Association of Bond Lawyers and the Pennsylvania Association of Bond Lawyers. He is ranked as a Senior Statesperson by Chambers USA for Public Finance, and has been named to The Best Lawyers in America for Public Finance Law since 2012 and to Super Lawyers since 2004, including Lawyer of the Year honors in Philadelphia's Public Finance Law category. Beyond his practice, Marc has served for two decades on the U.S. Selective Service System board for Montgomery County, Pennsylvania, and is a board member and trustee of the Golden Slipper Club and Charities.

- Represented the City of Allentown, Pennsylvania in developing a Neighborhood Improvement Zone and financing a sports arena and convention facility, and represented underwriters in subsequent economic development projects within the Zone; also represented the City in the long-term lease of its water and sewer systems, generating more than $212 million.

- Represented municipalities across Pennsylvania, including the City of McKeesport, Cheltenham Township, Limerick Township, Springfield Township, and Tredyffrin Township, in the sale of their sewer systems.

- Represented Montgomery County, Pennsylvania in the development, financing, and refinancing of a municipal waste-to-energy facility, structuring the legal framework for waste capture across phases spanning 1984 to 2012.

- Served as Bond Counsel in long-term lease financings of parking assets in Harrisburg and Scranton.

- Developed a subordinate bond structure for the Pennsylvania Turnpike to fund state roads and public transportation projects under Acts 44 and 89, and served as Bond Counsel Disclosure and Underwriters Counsel in the Turnpike Commission's toll revenue, oil franchise tax, and registration fee financings.

- Served as Bond Counsel to major health care and educational organizations in 501(c)(3) financings and refinancings, including Temple University Health System, Neumann University, and the nonprofit student housing organization for West Chester University.

- Served as borrower's counsel to a major port owner in Southern New Jersey in the acquisition of a marine port facility in a complex workout scenario.

- Represented issuers in restructurings of defaulted debt, including through Chapter 11 proceedings and pre-bankruptcy forbearance arrangements, and in IRS examinations of municipal bonds involving arbitrage, rebate, and private use issues.
