Humberto is a partner at Creel, García-Cuéllar, Aiza y Enríquez, in the Mexico City office. His practice focuses on mergers and acquisitions, private equity and capital markets.
Mr. Botti represents investment banks, private equity funds and corporations in both domestic and cross-border acquisitions and divestitures. He also represents underwriters, investors, and issuers in capital transactions, convertible securities, mezzanine loans, and other financing and debt investment operations. He has represented AT&T in the sale of its equity stake in América Móvil and in the acquisition of Nextel de México, as well as Grupo Axo in its joint venture with PHV and the acquisitions of “The Athlete’s Foot”, “Privalia México”, and “C&A México”. In private equity transactions, he has represented CDPQ, Apollo, Glisco Partners, Southern Cross, Eton Park, Turnspire Capital, KPS Capital Partners, and Advent International.
Mr. Botti has also represented Walton Street Capital in the sale of Walton Street Capital México to Ares Management Corporation; Flo Networks in the acquisition of American Tower’s tower business in Mexico; Glisco Partners in its investment in GGTECH Entertainment, acquiring 25% of its equity; Canadian Pacific in its merger with Kansas City Southern; CDPQ in its investment in Grupo Diagnóstico Aries; Ualá in the acquisition of ABC Capital Bank; Apollo in Aeroméxico’s restructuring; and the acquisition of Panasonic’s automotive systems; Santander Spain in its public offer to acquire the shares of its Mexican subsidiary Banco Santander México for $1.5 billion. Additionally, he advised Grupo Diagnóstico Aries on its entry into the U.S. market with the acquisition of Access Medical Laboratories; Grupo ACS in the sale of 100% of its shares in a natural gas platform located in Mexico that provides services to PEMEX; AN Global in its acquisition of IT company 4th Source Inc.; Generac in its acquisition of Selmec Equipos Industriales, S.A. de C.V.; Despegar.com in its acquisition of Best Day; and Merck México in its business restructuring prior to its sale and subsequent integration into Procter & Gamble.
Mr. Botti has helped entrepreneurs raise capital for search type acquisitions and development of various investment projects in Mexico. He has also advised on various types of liquidity events for family-owned businesses within several industries in Mexico.
In 2020, he was the only professional from Mexico and Latin America recognized by Global M&A Network as an Americas Rising Star Dealmaker for his leadership in the mergers and acquisitions and private equity markets.
Before joining the Firm, Mr. Botti worked as an investment banker in Goldman Sachs’ Mexico City office, where he participated in executing various mergers, acquisitions, and capital markets transactions focused on Mexico and Latin America.
Mr. Botti has co-authored several articles on mergers and acquisitions topics for prestigious publications such as The Mergers & Acquisitions Review.
He has been professor of Corporate and Financial Law at Universidad Iberoamericana. From 2007 to 2008, Mr. Botti worked as a foreign associate in the New York office of Skadden, Arps, Slate, Meagher & Flom LLP.
Mr. Botti was born in Mexico City, Mexico. He earned his law degree (JD) from Universidad Iberoamericana in Mexico City in 2005 and a Master’s degree in Business Administration with a focus on finance and accounting from the University of Michigan Ross School of Business in 2012. He was also accredited by FINRA Series 79 while working as an investment banker at Goldman, Sachs & Co. He is fluent in Spanish and English.
