Work Highlights
He currently leads the legal team that advises UPM-Kymmene on the investment in a new pulp mill in the country (Paso de los Toros) estimated in approximately USD 4 billion, and its associated infrastructure: rail network, highways and port terminal specialized in cellulose, in the Port of Montevideo. Mr. Espalter has assisted the company during the negotiation process for the signing of an investment contract with the Uruguayan government, establishing the requirements and conditions of the project (which will be the largest foreign direct investment made in Uruguay), and currently during its implementation.
Experience
He has vast experience in corporate and commercial law, having advised multiple national and foreign companies on all legal aspects related to the development of industrial, commercial and service activities in Uruguay. He has ample experience in mergers and acquisitions of companies, having led interdisciplinary teams in legal, accounting-fiscal and due diligence procedures. In addition, Mr. Espalter has advised national and foreign companies in making decisions regarding the purchase of companies, commercial establishments or relevant assets, as well as in the negotiation and drafting of share purchase and sale agreements, share syndication agreements, bylaws and corporate documentation in general.
