David advises on Canadian and cross-border securities transactions with a focus on capital markets and is known for his practical and innovative solutions. He has extensive experience representing public and private companies, investment banks and institutional investors on a broad range of transactions both in and outside Canada. These transactions include debt and equity offerings (public and private), liability-management transactions, PIPEs and other private investments, mergers and takeover bids. David is also a key contributor in shaping Canadian capital markets regulation through his frequent commentary to Canadian securities regulators. David’s vast experience advising on offerings from both Canadian and US perspectives allows him to effectively bridge differences in securities law and practice between Canada and the United States. He is admitted to both the Ontario and New York Bars.
