Work Highlights

Eight Parkside - Advising a group of shareholders of 4th party logistics company Freight Management Holdings, one of Australia's largest supply chain companies, on the sale of a further 10 per cent of the company to Singapore Post for A$62.8 million. The transaction saw SingPost's share of the company increase to 98 per cent. It then acquired the final two per cent it did not own in a separate transaction. David advised the shareholders since 2020 as SingPost progressively grew its stake in the company. The total consideration for the company was around A$434 million.

Close the Loop - Acting for ASX-listed recycling and circular economy company, Close the Loop, in acquiring two US-based electronics refurbishing and trading companies, ISP Tek Services and Captive Trade Corp, for US$66 million (A$100 million).

Octopus Deploy - Advising the shareholders of Octopus Deploy, an Australian based global leader in continuous delivery and deployment automation on the sale of a minority stake to US venture capital firm Insight Partners for US$172.5 million.

City Chic Collective - Advising ASX-listed City Chic Collective on $80 million institutional placement and share purchase plan, and on the Australian legal aspects of City Chic Collective's acquisition of the eCommerce assets of Catherines from NASDAQ-listed Ascena Retail Group, which coincided with the equity capital raise.

Incannex Healthcare - Advising on the delisting of previously dual ASX and Nasdaq listed Incannex Healthcare from ASX and the re-domiciliation of that Australian company to Delaware, USA as a solely Nasdaq listed entity. The delisting and re-domiciliation of the A$150 million market capitalisation company occurred by way of separate schemes of arrangement with Incannex Healthcare's shareholders and optionholders.
