Co-Chair of Mergers & Acquisitions Practice Group, Chair of the firm’s Business Committee and a member of the firm’s Executive Committee. Represents public and private companies and private equity firms in domestic and cross-border mergers and acquisitions, minority and strategic investments, restructurings, take-over defense, shareholder activism and corporate governance matters. Recently advised the Special Committee of the Board of Directors of Guess? in the $1.4 billion take-private acquisition by certain shareholders in partnership with Authentic Brands Group; LS Power in its $13 billion sale of a portfolio of natural gas generation facilities and a commercial and industrial virtual power plant platform to NRG Energy; NXMH in its $1.45 billion sale of Whitebridge Pet Brands’ North American premium cat feeding and pet treating business to General Mills, Inc.; Choice Hotels International in its proposal and subsequent exchange offer to acquire Wyndham Hotels & Resorts, Inc.; Take-Two Interactive Software in its $12.7 billion acquisition of Zynga; CMA CGM Group in its acquisition of most of Ingram Micro’s Commerce & Lifecycle Services business, valued at $3 billion; and Analytic Partners in connection with an investment by funds affiliated with Onex Corporation.
