EUROPE Simpson Thacher has had a presence in London for nearly five decades. London-based lawyers advise clients in Europe and globally under both English and US laws on a range of cross-border corporate, M&A, banking, capital markets, private funds and real estate transactions and competition law and arbitration matters.

PRINCIPAL AREAS OF WORK

M&A & Private Equity:

Simpson Thacher is recognised globally for its role on behalf of parties on all sides of complex M&A transactions, buyouts, stock and asset purchases, restructurings, spin-offs, joint ventures and contested transactions. Clients include listed and unlisted companies, financial sponsors and investment banks. Recent M&A experience by the London office includes advising KKR and BlackRock in their announced $4 billion pipeline infrastructure deal with the Abu Dhabi National Oil Company; CBRE in its recommended offer for Telford Homes Plc; Melrose in its acquisition of GKN plc; Silver Lake in its acquisition of ZPG; Technology Crossover Ventures in its investment in Sportradar and Apax in its acquisition of Baltic Classifieds Group.

Capital Markets:
The firm advises domestic and international issuers and underwriters on all types of capital markets transactions, including high yield debt and investment grade offerings and IPOs, other equity capital markets transactions and derivatives. The firm has recently advised on European debt offerings for Aston Martin, Cirsa Enterprises, Cognita, Grupo Antolin, Intertrust, LeasePlan Corporation, Schenck Process, Stonegate Pub Company, United Group and Voyage Care. The firm represented the underwriters in acquisition financing for KKR’s bid for Telepizza and approx. $48.1 billion (equivalent) of debt offerings by KfW in 2018.

Banking & Finance:
Lawyers advise both borrowers and lenders on a broad range of domestic UK and crossborder acquisitions, property finance and syndicated lending transactions and products, including senior secured and mezzanine loans and working capital facilities in conjunction with capital markets issues. Recent representations include the financings for KKR’s public tender offer for Axel Springer; PHC Holdings’ acquisition of the Anatomical Pathology business of Thermo Fisher; Boston Scientific’s acquisition of BTG; Apax’s acquisition of Baltic Classifieds Group; and Blackstone’s announced acquisition of CRH Europe Distribution.

Private Funds:
Simpson Thacher has one of the world’s pre-eminent private funds practices. The practice is global in scope and covers funds with a wide variety of investment criteria, including buyout, real estate, infrastructure/ energy and debt funds. The London office has consistently acted on the largest European private equity fundraisings to occur post-financial crisis, including Triton V, CVC VII, EQT VIII, EQT Infrastructure IV, Bridgepoint Europe VI, Apax IX, the seventh Cinven fund, and BC European Capital X and is currently advising on some of the most high-profile European fundraisings in the market. As well as advising on these large buyout funds, Simpson Thacher & Bartlett continues to be the ‘go-to’ funds counsel for multi-strategy clients in relation to their other fundraising initiatives.

Litigation & Arbitration:

The firm has one of the most dynamic and successful international litigation and arbitration practices in the world, with dual-qualified US and English-law trained lawyers in its London office, specialising in complex commercial arbitrations. Recent highlights include a ICC arbitration for a leading pharmaceutical company; LCIA arbitration arising out of an M&A transaction; securing €134 million for a French food group in an UNCITRAL arbitration in Singapore arising out of a mass contamination and product recall spanning eight countries; Hong Kong-seated arbitrations for clients operating in Asia; US–seated arbitrations; and cross-border disputes and arbitration-related litigations, including successfully resisting the enforcement of an ICC award rendered in Brazil, in the courts in New York and the Cayman Islands.

Competition/Antitrust:
The firm is internationally recognised for its antitrust and competition law capabilities and regularly represents clients before the European Commission, Member States of the European Union, the US Department of Justice and the US Federal Trade Commission and other international merger control authorities. The London-based team has obtained approval for numerous leading deals, including Magneti Marelli’s acquisition by Calsonic Kansei; L3’s merger with Harris; KKR’s acquisition of Unilever’s global Spreads business and Silver Lake’s acquisition of ZPG. The firm also represents clients in high profile antitrust litigation and government investigations such as advising ISDA on the European Commission’s investigation of OTC CDS, and certain Asian auto parts suppliers before the European Commission.

Real Estate:
The global real estate practice spans all areas of the real estate industry, including sophisticated real estate finance, sales and acquisitions, restructurings, real estate development, joint ventures, co-investments and partnerships. In London, Simpson Thacher advises real estate sponsors, debt funds and asset managers and has worked on over 200 transactions across 22 jurisdictions since 2013 with an aggregate transaction value of over €125 billion. After advising Blackstone in its acquisition of a majority stake in Testa Residencial, the firm advised Testa in a EUR 1.9 billion financing of a portfolio of properties across Spain. Other notable representations include advising Blackstone in its acquisition of a 35% stake in Kryalos and its acquisitions and financings of various portfolios across Europe. The firm also advises KKR, Round Hill Capital and Blackstone Tactical Opportunities on M&A and real estate financings.
