Corporate & Mergers & Acquisitions:
Pestalozzi has provided commercial and corporate law solutions to domestic and foreign companies for over a century. It advises a diverse range of international and domestic companies on all aspects of commercial and corporate law (e.g. corporate governance, corporate control, director and officer liability, shareholder relations, group internal reorganisations, restructurings, executive compensation, and corporate compliance). The group represents buyers, sellers, and their respective financial advisors in all fields of cross-border and domestic M&A transactions, in addition to other corporate control transactions.

Litigation & Arbitration:
Pestalozzi has a long-standing reputation for excellence in advising and representing clients in complex national and international commercial disputes before state courts and arbitral tribunals. Members have extensive practical dispute resolution experience and have gained additional experience in international commercial litigation and arbitration during postgraduate studies in common law countries. In addition to acting in commercial disputes, the practice group is also well known for its expertise in insolvency matters, asset tracing, international judicial assistance in civil and criminal matters as well as matters involving white-collar crimes.

Banking & Finance:
Pestalozzi provides advice and assistance on all legal issues in relation to financial services and in particular the banking industry and capital markets. Among others, the banking & finance practice is recognised for its comprehensive support in bank regulatory matters. The group advises Swiss and international clients on complex domestic and cross-border regulatory issues (e.g. licensing, compliance, and supervision). It represents and advises clients in complex debt, equity and equity-linked offerings, syndicated loans, structured and hybrid debt financings, securitisations and other alternative risk transfer transactions.

White Collar Crime:
Pestalozzi represents and defends governmental bodies, foreign states, financial institutions and other corporations as well as high net worth individuals that request assistance for white-collar matters and internal investigations. The team is handling complex cross-border cases combining expertise in the fields of governmental investigations, financial fraud, asset recovery and liability claims. Banks in particular draw on Pestalozzi’s expertise to solve complex matters stemming from internal or external financial fraud or involving regulatory (Swiss Financial Market Supervisory Authority) recovery and liability issues.

Capital Markets:
Pestalozzi represents issuers, underwriters and other capital market participants in domestic and international securities offerings. The team provides transactional services as well as specific advice in connection with the issuance of securities and subsequent trading in secondary markets. It advises in particular on IPOs, rights offerings, convertible bonds, high yield bonds, hybrid instruments, securitisations and other securities transactions.

Restructuring & Insolvency:
Pestalozzi is advising creditors, corporate debtors and investors in distressed situations and possible restructurings. The team represents troubled companies and their executives in restructuring and insolvency matters. Pestalozzi’s specialist areas include cross-border issues before Swiss courts in bankruptcy-related litigation involving the coordination of civil and criminal proceedings. In addition, Pestalozzi is conducting large-scale asset recovery actions as well as refinancing and restructuring of existing debt.

Life Sciences:
Pestalozzi offers legal advice to international manufacturers and providers of life science products and services. The clients include companies, organisations, institutions, founders and scientists active in various stages of research, development, technology transfer (including patent and trade secrets litigations and product liability), and in the commercialisation of technology and technology-based products.

Private Clients:
Pestalozzi offers sophisticated and tailor-made legal solutions to Swiss and non-Swiss individuals and families, foundations and trusts, as well as private banks, family offices, and other wealth management service providers. Pestalozzi advises clients with regard to legal, regulatory and tax aspects of global planning, coordinating, and structuring of their private wealth and business assets.

Intellectual Property & TMT:
Pestalozzi provides solutions for all aspects of IP, unfair competition and data protection law, as well as telecommunications, media, and technology law. The group has extensive experience and know-how in advising and representing Swiss and foreign clients in patent trademark, copyright and related matters, as well as licensing, R&D and outsourcing legal and regulatory issues before regulatory authorities, national penal and civil courts, and arbitral tribunals.

Tax:
Pestalozzi advises clients in Switzerland and abroad on the complete range of corporate and individual taxation, withholding and stamp taxes as well as VAT. The tax practice group offers in-depth knowledge and expertise in the fields of international tax advice/planning, tax compliance and tax litigation services. Blockchain & Crypto Assets:
Pestalozzi provides legal and regulatory advice to clients who are developing, implementing and operating new technologies such as the distributed ledger technology, upon which initial coin offerings or token generating events are based.
