Corporate & Mergers & Acquisitions:
Pestalozzi has provided commercial and corporate law solutions to domestic and foreign companies for over a century. It advises a diverse range of international and domestic companies on all aspects of commercial and corporate law (e.g., corporate governance, corporate control, director and officer liability, shareholder relations, group internal reorganisations, restructurings, executive compensation, and corporate compliance). The group represents buyers, sellers, and their respective financial advisors in all fields of cross-border and domestic M&A transactions, in addition to other corporate control transactions.

Litigation & Arbitration:
Pestalozzi has a long-standing reputation for excellence in advising and representing clients in complex national and international commercial disputes before state courts and arbitral tribunals. Members have extensive practical dispute resolution experience and have gained additional experience in international commercial litigation and arbitration during postgraduate studies in common law countries. In addition to acting in commercial disputes, the practice group is also well known for its expertise in insolvency matters, asset tracing, international judicial assistance in civil and criminal matters as well as matters involving white-collar crimes.

Financial Services:
Pestalozzi provides advice and assistance on all legal issues in relation to financial services and in particular the banking industry and capital markets. Among others, the financial services practice is recognised for its comprehensive support in bank regulatory matters. The group advises Swiss and international clients on complex domestic and cross-border regulatory issues (e.g., licensing, compliance, and supervision). It represents and advises clients in complex debt, equity and equity-linked offerings, syndicated loans, structured and hybrid debt financings, securitisations and other alternative risk transfer transactions.

Intellectual Property & TMT:
Pestalozzi provides solutions for all aspects of IP, unfair competition and data protection law, as well as telecommunications, media, and technology law. The group has extensive experience and know-how in advising and representing Swiss and foreign clients in patent trademark, copyright and related matters, as well as licensing, R&D and outsourcing legal and regulatory issues before regulatory authorities, national penal and civil courts, and arbitral tribunals.

Pestalozzi advises clients in Switzerland and abroad on the complete range of corporate and individual taxation, withholding and stamp taxes as well as VAT. The tax practice group offers in-depth knowledge and expertise in the fields of international tax advice/planning, tax compliance and tax litigation services. The firm’s tax experts are able to render all tax services as integrated services across any combination of legal areas.

Blockchain & Crypto Assets:
Pestalozzi provides legal and regulatory advice to clients who are developing, implementing and operating new technologies such as the distributed ledger technology, upon which initial coin offerings or token generating events are based. Pestalozzi advises on a wide range of regulatory and legal topics concerning clients’ provision of software services, decentralised applications, incorporation, financial regulation, data protection, cyber risks and administrative proceedings in relation to FINMA and tax authorities.

Competition & Trade:
Pestalozzi provides legal advice related to Swiss and European competition law as well as trade regulationrelated issues (WTO, customs, and registrations). It assists clients on a range of issues, including leniency applications, cartel investigations, compliance programs, dawn raids, distribution systems, free trade agreements, customs, import/export regulations as well as anti-dumping, state aid and WTO.

Private Clients:
Pestalozzi offers sophisticated and tailor-made legal solutions to Swiss and non-Swiss individuals and families, foundations and trusts, as well as private banks, family offices, and other wealth management service providers. Pestalozzi advises clients with regard to legal, regulatory and tax aspects of global planning, coordinating, and structuring of their private wealth and business assets.

Real Estate & Environment:
Pestalozzi provides advice on all legal issues relating to commercial and residential real estate. The practice group frequently provides advice for real estate transactions, including legal due diligence reviews of real estate, environmental and other regulatory matters, contract negotiations and contract drafting as well as assistance to obtain permits from Swiss regulatory authorities.
