Capital Markets:
Makes alone was responsible for one-third of the capital markets deals registered in the Indonesia Stock Exchange in 2012. This excellent capital markets practice is responsible for the firm’s international reputation as the ‘powerhouse of capital markets’ in Indonesia. Makes acted as Indonesian legal counsel for the sellers in the offer and sale of the shares in a retail giant in Indonesia with a deal value of USD$1.3 billion.

Mergers & Acquisitions:
On the M&A side, the firm was involved in the USD$7 billion dollar acquisition of an Indonesian bank which to date, is the largest acquisition of an Indonesian company.

Recent Work:
■ Represented PT Plaza Indonesia Realty Tbk and PT Sinarmas Asset Management in the issuance of the largest Indonesian Dana Investasi Real Estat (Real Estate Investment Fund) namely DIRE Simas Plaza Indonesia, listed in the Indonesia Stock Exchange with a total asset amounting to IDR 13 Trillion
■ Represented global investment private equity firm Kohlberg Kravis Robert (KKR) in a shareholders’ and management dispute involving corporate governance issues on its investment in PT Tiga Pilar Sejahtera Food Tbk and advising KKR on various and complicated capital market, suspension of payment obligations/bankruptcy, corporate and dispute resolution matters;
■ Represented PT Fajar Surya Wisesa Tbk (“FASW”) in the sale of its shares to SCG Packaging Public Company Limited through its subsidiary from the existing shareholders of FASW, representing 55% of the total issued and fully paid-up capital of FASW through crossing in the bourse with the value of approximately US$600,000,000
■ Represented Bank Danamon in the acquisition of its shares by the Bank of Tokyo Mitsubishi-MUFG
■ Represented PT Bumi Serpong Damai Tbk in the issuance of US$ 300,000,000 7.25% Senior Notes due 2021 issued by Global Prime Capital Pte. Ltd., its wholly-owned subsidiary
■ Represented the Djarum Group in its qualifying investment in PT Aplikasi Karya Anak Bangsa (GoJek)
