Dr. Yozua Makes is the Founder and Managing Partner of Makes & Partners, an award-winning law firm in Southeast Asia established by him in 1993. He has more than 35 years of experience across corporate law, transnational mergers and acquisitions, capital markets, corporate finance, project finance, foreign investment and a broad range of complex cross-border commercial transactions.

Career

Yozua is astute in advising investors and domestic and foreign-owned companies in cross-border project developments, including providing strategy and assistance in negotiating and drafting transactional, corporate, and commercial agreements spanning across various industries and sectors. Yozua Makes’ true added value is also reflected in the various roles he holds in highly strategic and prominent institutions, namely Indonesian Investment Authority and Indonesian Chamber of Commerce and Industry. These roles have allowed him to spearhead significantly complex capital market transactions by offering well-formulated, strategic and transaction-specific advice that extend beyond pure legal knowledge and encompass economic, commercial and other optical issues of public companies.

In 2014, Yozua Makes formed a strategic alliance with leading Singapore firm, WongPartnership LLP for seamless services throughout the region. In addition, a strategic alliance with Lubis Santosa Maramis (“LSM”) was also established, a move that leverages both the firms’ expertise in their respective fields of capital markets-merger & acquisition-corporate finance (for Makes) and litigation & arbitration (for LSM) and allows them to provide seamless and optimal services to the clients.

He is also the Founder and CEO of Plataran Indonesia, a homegrown Indonesian national pride hospitality company

Work Highlights

As the Managing Partner of the Firm, Dr Makes has been involved in several high profile and complex transactions that span across Makes & Partners’ practice areas, including representing / acting for the following:

• various international banks, in the mega-IPO of Mitratel, a subsidiary of state-owned PT Telkom Indonesia (Persero) Tbk, which was hailed as the second largest IPO in the history of the IDX to date.

• PT Global Digital Niaga (a member of the Djarum Group, popularly known as Blibli) in connection with its qualifying investment in PT Aplikasi Karya Anak Bangsa (GoJek), a decacorn startup in Indonesia. This was hailed as the second largest IPO in 2022, and the fifth largest IPO in the history of the IDX to date.

• two largest shareholders of PT Link Net Tbk (one of Indonesia’s biggest cable TV operators and fixed broadband internet provider), for the sale of its shares to Axiata, a Malaysian multinational telecommunications conglomerate.

• PT Profesional Telekomunikasi Indonesia, the largest independent tower owner and operator in Indonesia, in the mega acquisition of 94.03% shares in PT Solusi Tunas Pratama Tbk through a bidding process. This deal was the second biggest acquisition deal in Indonesia in 2021.

• PT Sinarmas Asset Management, in the Public Offering of Dana Investasi Real Estat (Real Estate Investment Fund or "DIRE") Simas Plaza Indonesia. DIRE Simas Plaza Indonesia is the largest DIRE that has ever been offered in Indonesia, and the first DIRE whose units are listed on the Indonesia Stock Exchange.

• PT Bundamedik, one of the biggest medical institutions in Indonesia, in the investment of high-profile private equity firm, Northstar Advisors Pte. Ltd., of an aggregate of 21% shares of, by way of subscription of equity-linked instruments.

• PT Bank Mandiri Tbk. in the issuance of shelf/continuous green bonds offering.

• PT Gozco Capital, in the sale of its shares in PT Bank Yudha Bhakti Tbk (now Bank Neo Commerce), a publicly listed company, to Akulaku (through PT Akulaku Indonesia), a multinational E-commerce platform company and affiliate of Alibaba.

• PT Anugerah Surya Pacific Resources, one of the biggest and most prominent mining conglomerates in Indonesia in connection with the sale of the majority shares in 2 (two) of its subsidiaries engaged in the nickel mining business activities in Indonesia, namely PT Stargate Pacific Resources and PT Stargate Mineral Asia to DTN, a subsidiary of PT United Tractors Tbk.

• Expedia Inc. (one of the big four online travel agencies in the world), investment in Traveloka. Traveloka is one of the giant unicorn start-ups in Indonesia.

• Ajaib Group, the 7th unicorn in Indonesia and the first fintech unicorn in Southeast Asia, in connection with its acquisition of shares in PT Bank Bumi Arta Tbk.
