For more than a decade, it has provided legal advice to the government of Panama during project finance transaction, helping it during transactions such as the sale of accounts receivable to banks, obtainment of loans and the issuance of bonds. One of the recent transaction involved the issuance of US$1.5 billion in global bonds, registered at the US Securities and Exchange Commission.
Another recent M&A transaction involved providing legal advice to a multinational company that acquired, through a public offering to purchase shares on the Panama Stock Exchange, the majority of the shares of the Grupo Rey holding company, owner of the second largest supermarket and pharmacy chains in Panama. The advice provided included, without limitation, the legal due diligence, drafting and negotiation of the relevant agreements, as well as the rest of the documentation to be filed with the Panama regulators.
In addition, the firm provides advice to multinational companies and other entities participating in private and public tender processes, some of them involving major infrastructure projects (e.g. Line 1 and 2 of the Metro of Panama), including those of the Panama Canal Authority (expansion of the Canal). Such services include, without limitation, the negotiating and drafting of the awarded project contracts (e.g. Centennial Bridge, the Amador Cruise Terminal) and those contracts and claims.
