Icaza, González-Ruiz & Alemán advises on sophisticated banking and finance matters, with particular strength in project and infrastructure finance, syndicated and bilateral lending, acquisition and corporate finance, capital markets, structured finance and refinancings.
The team represents lenders, borrowers, sponsors, issuers and public-sector entities in complex domestic and cross-border financings, advising on structuring, due diligence, finance documents, security packages, intercreditor arrangements, amendments and closing.
The practice has substantial experience in government-sponsored and privately developed infrastructure projects, particularly in transportation and energy, and also advises on banking regulation, licensing, securities issuances, leasing, factoring and fiduciary structures. It works closely with the firm’s Corporate/M&A, Public Contracting, Energy, Tax and Litigation teams on multidisciplinary transactions.
Recent work includes advising outgoing lenders and the security agent in a US$1.05 billion Generadora de Gatún financing transition; Natixis CIB and J.P. Morgan Chase Bank, N.A. on the US$281 million financing of Ruta del Este, Panama’s first availability-payment PPP; and participating in the US$1.4 billion financing of the Fourth Bridge over the Panama Canal.
The practice is particularly recognized for combining finance expertise with public contracting and infrastructure knowledge in complex and emerging PPP structures.
