Main Areas of Practice: 

Mergers, Acquisitions & Joint Ventures: 

Extensive experience negotiating and advising public and private US and multinational clients on mergers and acquisitions, including acquisition finance facilities, joint ventures, strategic investments, asset sales and purchases, spin-offs, going-private transactions, LBOs, and MBOs, including cross-border transactions.

Private Equity & Venture Capital: 

Representation of venture capital firms, sponsors of private equity funds, registered investment companies and investment managers and advisers in connection with fund creation, capital formation, portfolio investment, asset management, capital raising, and representation of portfolio companies. Capital Markets: Represent issuers and underwriters in connection with debt and equity securities offerings, including IPOs and followon stock offerings. Advise issuers, initial purchasers, and placement agents in high yield debt offerings under Rule 144A and Regulation S.

International Litigation & Arbitration: 

The firm advises on the Foreign Sovereign Immunities Act, the Foreign Corrupt Practices Act, asset recovery, extraterritorial application of US law, complex multi-jurisdictional and conflict of law disputes, and the enforcement of foreign judgments. Members of the firm have long been recognised as leaders in the international arena, managing parallel proceedings in foreign courts while trying litigation matters in the US, as well as arbitrating disputes in multiple international arbitration tribunals.

Global Energy & Infrastructure: 

The firm provides full-cycle counsel to international infrastructure and energy clients doing business in the region, from turn-key project development and redevelopment to financing, implementation, and operation and maintenance. The firm advises private and public sector clients in all aspects of public-private partnership (PPP) transactions.

Real Estate: 

Representation of diverse client base, both institutional and entrepreneurial, in project, mezzanine, and company financings, joint ventures, private equity fund formation, acquisitions and dispositions, operations, leasing, restructuring and workouts, development planning, and land use involving all property types, from retail, office, residential (multi-family and condominiums), industrial, and the full range of hospitality and resort projects, located across the United States and internationally.

Restructuring & Bankruptcy: 

Representation of financially troubled corporate borrowers — including their boards of directors and special committees, lenders with non-performing loans, buyers of distressed debt and assets — including hedge funds, private equity funds, and other investor groups, as well as representation of senior and mezzanine lenders in prepackaged bankruptcies and out-of-court restructurings in both domestic and cross-border situations.

Cross-Border Tax & Estate Planning: 

One of the largest practice groups in the US experienced with cross-border issues, including tax aspects of corporate reorganisations; mergers; acquisitions and joint ventures; cross-border tax minimisation; transfer pricing; technology transfer; and repatriation planning, estate, gift and individual tax planning.

Business Aviation: 

Representation of airlines, lessors, lenders, and operators in equipment finance and leasing transactions; acquisitions and investments in aviation related businesses; aviation industry commercial and operational matters; aircraft and engine purchase orders and related supplier support; aircraft, engine and spare parts financings; operating leases; lease and loan restructurings and workouts; and general commercial and operational matters specific to the airline industry.

International Trade: 

The team advises clients on trade policies, remedies, negotiations, disputes, strategic trade consulting, international trade agreements, trade legislation and lobbying, antitrust and Foreign Corrupt Practices Act counselling, US Foreign Military Sales Program, and US anti-boycott and embargo regulations.

Franchising: 

The firm draws on the deep transactional, regulatory, litigation, and intellectual property experience of its dedicated attorneys to advise regional, national, and international franchisors, manufacturers, and distributors in the many aspects of franchising and distribution. Clients, ranging from individual entrepreneurs to internationally recognised public companies, rely on GT to structure domestic and international franchise and distribution programs, prepare and file registration documents, counsel on compliance with federal and state relationship regulations, counsel on the implementation of system-wide marketing and other franchise programs, and address relationship problems that may arise.
