Corporate

Our lawyers develop legal strategies to advise our clients on the legal structuring and maintenance of their businesses, including:

• The creation and updated maintenance of the necessary corporate documentation for the smooth operation of the businesses, such as: stock

certificates, corporate books, foreign investment, among others.

• The negotiation, drafting, and execution of all types of agreements and legal documents, such as shareholders’ or partnership agreements; as well as

M&A

Our mergers and acquisitions team has extensive experience advising buyers and sellers in merger and acquisition transactions in Mexico, which

• Legal structuring of the transaction.

• Negotiation of its terms and conditions.

• Legal due diligence, drafting, and execution of all types of purchase agreements and related documents (including shareholders’ or partnership

agreements, promissory notes, security documents, among others).

• Coordination and supervision of compliance with the agreed conditions for the closing of the transaction.
