Corporate & M&A; Private Equity:

The firm handles all types of mergers and acquisitions and other corporate transactions, whether small, medium, large and very large, whether of public or private companies, for strategic, PE and other clients. Because of its strong regulatory capabilities, the firm has unsurpassed qualifications to assist in transactions in regulated areas. On the day to day, the firm regularly advises on every aspect of corporate activity, including corporate law advice, due diligence, drafting and negotiation of all sorts of agreements, incorporation of companies, formation of joint ventures, acquisition and disposition of assets, including real estate, intellectual property licensing, technology transfer and technical assistance arrangements.

Banking & Finance; Capital Markets:
The firm has extensive experience in finance and capital market transactions, having participated in numerous debt and equity securities issuances, debt restructurings, loans and financings, including trade and project finance, involving the local market, foreign and local issuers, lenders and borrowers and international and local credit agencies (including the Brazilian Development Bank, BNDES). The firm also represents clients before the securities commission and other stakeholders.

The firm is very active in antitrust and competition matters, including cartel and unilateral conducts investigations and merger control filings. The firm has advised clients on several cartel investigations and unilateral conduct matters, as well as in complex merger control cases.

The firm has a very strong regulatory practice, with in-depth knowledge of administrative law and related matters. It advises on all aspects (transactional, contractual, regulatory and project implementation) of regulated industries, including telecommunications, electric energy, oil and gas, transportation (air, maritime, highway, railway), ports, airports, mining, water, insurance, means of payment. In relation to infrastructure and, especially, telecommunications, the firm has been involved in almost every relevant project in Brazil and has contributed to proposed rule-makings for the regulation of telecom services. With regards to electric energy, the firm has participated in a wide number of transactions and has been involved in almost every relevant sector’s issue.

Media & Technology:
The firm offers comprehensive legal services in the areas of Internet, media and technology, providing detailed legal support in all aspects of the so-called digital economy, such as IoT, marketplaces, social medias and data protection, among others. The firm has extensive experience in the area and has been involved in the most relevant media projects in Brazil, including assisting with the offer of audiovisual content by traditional and disruptive platforms.

International Trade:
The firm assists Brazilian and foreign clients in international trade and customs matters, in Brazil and abroad, including antidumping, subsidies and countervailing measures, safeguards and other proceedings conducted by local and foreign authorities.

The firm’s labour practice group provides solutions for all types of labour issues, giving tailored advice in acquisitions, restructurings and other transactions, global mobility, collective bargaining issues, profit sharing agreements and strategic labour planning. The labour group is used to handle complex labour litigation.
