Sofia Carreiro is the head of our Corporate & M&A practice in Portugal. She advises domestic and international clients on cross-border M&A, complex restructurings and joint ventures, with a focus on technology, energy, healthcare, aerospace and other regulated industries. She also has extensive experience in commercial contracts, including distribution and franchising.

With over 25 years of experience in corporate law, Sofia has advised private and publicly listed companies, state-owned entities and international investors. Her practice combines a solid command of complex regulatory frameworks with a pragmatic, business-oriented approach, providing clients with clear and actionable guidance.

Over the years, She has developed specialised expertise in advising on transactions and projects across highly regulated and strategic industries. Her sector focus includes technology, energy, healthcare and life sciences, and aerospace, involving complex regulatory frameworks and cross-border transactions. This breadth of experience allows Sofia to provide clients with sector-specific insights and to anticipate challenges that may arise in sophisticated corporate transactions.

Her advice to clients covers the full spectrum of corporate transactions. She has extensive experience counselling on joint ventures and shareholder agreements, having led the negotiation of numerous structures in both public and private sectors. Her practice also encompasses asset deals and corporate reorganisations, including winding up and liquidation, changes of legal form, establishment of holding structures, and internal reorganisation of companies. These assignments frequently involve close coordination with finance, regulatory and commercial teams, ensuring alignment between corporate structures, compliance requirements and business objectives.
