Sean is a partner in our Silicon Valley office.
Sean’s corporate and securities law practice focuses on the structuring, formation, organization and operation of venture capital and other private equity funds and their general partner and management company entities. Sean advises clients in the preparation of offering materials, negotiations with investors on fund formation matters, drafting partnership, LLC and other governance agreements, and counseling fund managers on all aspects of day-to-day operations. As fund counsel for a number of top-tier venture capital firms, Sean advises on securities laws and compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, ERISA, and other aspects of the regulatory framework applicable to formation and governance. In addition, Sean advises clients on investment matters related to tokens, coins, ICOs, cryptocurrencies and other digital assets.

Sean has been recognized as a leading fund formation attorney by Chambers USA, Who’s Who Legal and Super Lawyers, has been featured in the Daily Journal as one of its “Top 100 Lawyers” in California, was named by Business Today as one of the “Top 10 US Attorneys Leading the Charge in Venture Capital Formation” and was selected as one of the Lawdragon 500 Leading Dealmakers in America (2024).
In addition, Sean is currently a Lecturer in Law at Stanford Law School, and was previously a Lecturer in Law at the UC Berkeley School of Law (2017 – 2022), where he teaches a course on venture capital fund formation.
Prior to law school, Sean served in a variety of leadership positions as an Armor Officer and Jumpmaster in the U.S. Army’s 82nd Airborne Division, and left active duty as a Captain. Sean is a member of the Veterans of Foreign Wars (VFW).
