Rahul Thakrar

Rahul Thakrar is a Partner and Head of Department in Boodle Hatfield's leading Corporate & Commercial team. Rahul advises credit funds, investment funds, family offices and sponsors on structuring, financing, and executing complex real estate and operational business transactions across the UK and Europe.

He advises across the investment lifecycle, from platform and fund structuring, through acquisition and financing, to refinancing, restructuring and exit.

Having completed all levels of the CFA Programme, Rahul combines legal advice with financial and investment insight, enabling him to engage with investors, lenders and sponsors on both the commercial and legal aspects of a transaction. He regularly assists clients with negotiating the key commercial terms of a transaction and finding structures that provide the necessary commercial outcomes.

Many transactions Rahul advises on involve sophisticated debt and equity structures, sponsor promotes, structuring considerations and complex stakeholder negotiations. He helps clients align legal documentation with commercial objectives, navigate complex capital structures and allocate risk efficiently.

Debt & Credit: Senior, stretch senior and mezzanine lending, NAV and back-leverage, facilities loan portfolio acquisitions, intercreditor arrangements, restructurings and special situations.

Equity & Joint Ventures: Common and preferred equity, joint ventures, promote structures, structured capital solutions, forward funding arrangements, development management structures and investor economics.

Funds & Fund Sponsors: Fund formation, GP financings, NAV lending, carried interest arrangements, management company financings and strategic capital investments.

M&A: Platform acquisitions and disposals, property holding structures, minority investments and disposals and strategic corporate transactions.
