OREN GERTNER is a partner in the Investment Funds group and a member of Sidley’s Private Equity Fund Formation practice. Oren’s practice includes structuring and offering of domestic and international private equity funds, hedge funds, and other alternative investment funds, such as buy-out funds, debt funds, real-estate funds, energy funds, distressed funds, funds-of-funds, and managed accounts. Oren’s practice also includes representation of prominent institutional investors in connection with their investments in leading private investment funds, real estate funds, credit funds, secondary funds, and co-investments. He has worked on the organization and documentation of fund sponsors’ internal firm arrangements, carry plans, and a variety of transactional matters relating to private funds. He represents buyers, sellers, and sponsors in secondary transactions, including all types of GP-led secondaries and private funds recapitalizations. Oren also provides regulatory and compliance advice applicable to the formation, operation, and investment activities of private funds, including compliance with the U.S. Investment Advisers Act and the U.S. Investment Company Act.
