Olivia Ngan’s practice focuses on cross-border finance transactions.

Olivia has represented lenders and borrowers, including bond issuers, corporate borrowers, financial institutions, credit funds and asset managers on a wide range of financing transactions. She has broad experience advising on pre-IPO, structured, acquisition, real estate, fund and equity margin financing, as well as general corporate lending, with a particular focus on mainland China-related transactions.

Apart from loan financing transactions, Olivia also works closely with other Sidley lawyers on debt capital market, non-contentious restructuring and regulatory and compliance matters.

Olivia has advised on some high-profile, innovative and award-winning financing transactions, such as for CBC Group as lender on the first royalty-backed financing in China’s biopharmaceutical industry and Hong Kong Airport Authority as borrower on its HK$35 billion EPIV compliant syndicated loan.
