Joseph Frumkin has provided legal counsel on many of the largest M&A transactions in history, representing buyers, sellers and special committees. His practice focuses on U.S. and cross-border acquisitions, leveraged buyouts, corporate preparedness and proxy contests, as well as corporate governance, cybersecurity and general corporate representation. He is consistently recognized as a leading lawyer, including being named “Dealmaker of the Year” by The American Lawyer for his work on AT&T’s acquisition of Time Warner and Cingular’s acquisition of AT&T Wireless. Additional recent representations include: Cablevision’s acquisition by Altice; Columbia Pipeline’s acquisition by TransCanada; Concho Resources’ acquisition of RSP Permian; Connecticut Water Service’s announced acquisition by SJW Group; Enbridge’s acquisition of Spectra; Forest City Realty Trust’s acquisition by Brookfield Asset Management; General Cable’s acquisition by Prysmian Group; Pepco’s acquisition by Exelon; Sempra’s cooperation agreement with Elliott Management and Bluescape Energy; TerraForm Power/TerraForm Global’s sale to Brookfield; Teva’s acquisition of Allergan Generics; UIL Holdings’ acquisition by Iberdrola USA; and ZF Friedrichshafen’s acquisition of TRW Automotive. Mr. Frumkin is the managing partner of S&C’s Mergers & Acquisitions Group. He is an Adjunct Professor at UPenn Law, where he teaches a course in M&A.
