Experience

David Ringelman has over 30 years of experience representing clients in business and commercial matters, mergers and acquisitions, and other corporate and securities matters. He has worked with buyers and sellers in a variety of industries including energy, industrial services, mining, and technology companies.

David has represented private equity clients and public and private companies on transactional matters in the U.S., and international transactions in Canada, Mexico, Asia, Europe, and South America. In addition to his mergers and acquisitions experience, he has also worked on debt and equity financing, including initial public offerings, public stock and debt offerings, private placements and venture capital financing. He has also assisted clients in negotiating and documenting settlements to litigation and other business disputes.

Work Highlights

- Represented Anser Advisory, LLC, a portfolio company of Sterling Investment Partners, in its acquisition of Gafcon Digital, a digital model integrator for building and infrastructure owners based in San Diego, California.

- Represented Crimson Midstream Holdings, a California based midstream energy company in a set of transactions valued at $350 million, involving CorEnergy Infrastructure Trust, Inc., a publicly traded REIT (“CORR”), and The Carlyle Group, one of the largest private equity funds in the United States, pursuant to which Crimson’s midstream business in Louisiana and the Gulf of Mexico was spun out to Carlyle, and CORR acquired a controlling interest in Crimson and its California based midstream operations from Carlyle and Crimson’s other owners.

- Represented a portfolio company of Sterling in negotiating the acquisition from an Australia based company of its U.S. based planning, procurement, project management and advisory services.

- Purchase of a biodiesel feedstock (used cooking oil) collection and aggregation business, and the subsequent sale of the business and related assets to a public company.

- Acquisition by a Sterling portfolio company of a Florida consulting firm partnering with federal, state and local governments to deliver capital improvement, operations and management, and financial and operational solutions.
