Brandon has a broad corporate practice, representing companies from formation through exit. Brandon has particular experience representing privately-held companies in connection with debt and equity financings, reorganizations, joint ventures, and M&A transactions. Brandon also has extensive experience in counseling boards of directors, board committees, and investors, and in negotiating settlements of business disputes. Clients regularly rely on Brandon as an outside general counsel, working closely with management teams to find creative and efficient solutions to both day-to-day legal matters and complex business transactions.
Brandon has substantial experience working with companies in the carbon capture and sequestration, energy, telecommunications, technology, business services, construction, mining, and recycling industries.

- Representation of OnStream CO2, LLC, a Texas-based developer of carbon capture, utilization and sequestration (CCUS) projects, in connection with its development of CCUS projects along the Louisiana coast and the sale of an equity interest to Enbridge (U.S.) Inc.
- Representation of Carbonvert Inc., a Denver-based developer of CCUS projects, in connection with its development of CCUS projects in Louisiana, Texas and Wyoming and the sale of its Bayou Bend project to Chevron U.S.A. Inc. and Equinor ASA.
- Representation of TRAXyL, Inc., a Virginia-based defense tech company, in connection with its issuance of a preferred stock seed round led by Draper Capital and accompanied by a strategic investment and product development agreement with In-Q-Tel, Inc.
- Representation of Service Logic, a private-equity backed nationwide provider of HVAC and building automation services, in connection with a series of strategic acquisitions totaling over $200 million.
- Representation of Pfizer Ventures in connection with investments in several pre-IPO stage pharmaceutical companies.
- Representation of Glowpoint, Inc., a publicly traded managed service provider of video collaboration and network applications, in its merger with Oblong Industries, Inc., a VC-backed collaboration technology company, along with a concurrent recapitalization.
- Representation of Curiosity Stream Inc. in its combination with a special purpose acquisition company (SPAC) at an enterprise value of $512 million.
- Representation of Wheels Up LLC in its combination with a SPAC at an enterprise value of $2.1 billion.
