David Lynn is Co-Chair of the firm’s Corporate Finance | Capital Markets Practice and a key resource to a variety of public companies. He handles securities law compliance issues and transactions, as well as corporate governance and executive compensation matters. Mr. Lynn is among a handful of practitioners in the nation who have the depth of federal securities law experience that sophisticated corporations require. Under his leadership, the firm’s securities team has a unique capability to provide high-level, critical advice on sophisticated disclosure issues. Mr. Lynn is a leading authority on SEC issues and is well known in the area of executive compensation disclosure, having co-authored, “The Executive Compensation Disclosure Treatise and Reporting Guide.”
Band-1 Chambers ranked for Securities Regulation; Former Chief Counsel of the U.S. Securities and Exchange Commission’s Division of Corporation Finance. In this role, Mr. Lynn led the rulemaking team that drafted sweeping revisions to the SEC's executive compensation and related party disclosure rules.
Mr. Lynn is co-editor of TheCorporateCounsel.net and The Corporate Counsel, which are widely read sources on securities, governance and corporate law matters.
