Andreea is a Partner with a special focus on the financial services sector, as well as substantial experience across other fields subject to a strict regulatory framework.

Loans & Banking Assets Trading Expertise: Andreea is highly regarded for her expertise in the debt trading market, having advised buy-side and sell-side clients in all aspects of the primary and secondary trading markets of domestic and international par and distressed loan portfolio transactions with a face value aggregating over EUR 10 billion. She is also well-versed in handling distressed large corporate single-names transactions. She provides a full spectrum of transaction assistance services, from pre-transaction decision-making, via due diligence, structuring aspects, bid benchmarking and transaction execution to post-closing transitional support. She has an excellent understanding of legal and operational issues, as well as the commercial complexities that underpin the national and EU debt trading markets.

Debt Servicing Expertise:

With hands-on experience in the design of independent servicing platforms carved-out from the existing work-out units of the banks, Andreea assists clients in optimizing the management of distressed debt volumes. She has structured and negotiated Service Level Agreements, forward flow agreements, funded participation agreements, and co-investment partnerships to ensure efficient debt management solutions.

Financial Services Regulation Expertise:

Andreea’s deep experience covers a broad spectrum of regulatory areas, including banking and leasing activities, payment services, electronic money distribution, and fintech.

Andreea also advises on the establishment and authorization of Romanian companies as non-banking financial institutions, payment institutions, electronic money institutions, and credit servicers.

In addition, she offers regulatory guidance on launching new financial products, in Romania or cross-border, helping businesses stay ahead of the curve in a rapidly changing market.

She has acted as legal counsel to numerous banks, payment institutions and electronic money institutions on outsourcing of their critical functions to third party service providers (including cloud and ICT services), ensuring compliance with the EBA Guidelines on outsourcing and the Digital Operational Resilience Act (DORA).
