Alan J. Wilson is a corporate lawyer who routinely advises public company clients, boards of directors and accounting firms on a variety of matters concerning corporate governance, federal securities law compliance, technical audit and accounting issues, crisis situations and internal investigations. He has a particular focus regarding the intersection between law and accounting and has extensive experience in SEC reporting and disclosure requirements, capital markets transactions, proxy and annual meeting matters, shareholder activism and engagement, and shareholder proposals. Mr. Wilson works with a diverse set of companies from a range of industries, including entertainment, hospitality, defense, financial services and FinTech, consumer products and retail.
Mr. Wilson’s securities counseling practice includes advising on Exchange Act disclosure obligations, Section 16 reporting, Rule 144, stock exchange listing standards, and internal control over financial reporting. Additionally, he frequently represents clients in securities and auditor enforcement matters before the Securities and Exchange Commission, Public Company Accounting Oversight Board and state boards of accountancy.

Mr. Wilson is a Massachusetts CPA and is a member of the CAQ’s SEC Regulations Committee, Massachusetts Society of CPAs and the American Academy of Attorney-CPAs. He is also the former Chair of the Law and Accounting Committee of the ABA Business Law Section, former Vice Chair of the Audit Responses Committee of the ABA Business Law Section, and a former member of the National Conference of Lawyers and CPAs. Mr. Wilson is admitted to the Bar Associations of the District of Columbia and the state of New York.
