Adriana Schwartz is a partner in Seward & Kissel’s Investment Management Group and in the Firm’s Capital Markets and Corporate Securities Practice. Adriana advises on complex securities law compliance and transactional issues, SEC regulatory and compliance and reporting obligations and shareholder activism.
Adriana counsels clients on a broad range of issues, including in the regulatory areas of Sections 13 and 16, Rule 144, insider trading, Regulation SHO order marking and Regulation M/Rule 105. She also represents clients in private investments in public and private companies, including private investments in public equity (PIPEs), registered direct offerings, convertible 144A offerings, special-purpose acquisition companies (SPACs) and Regulation S offerings.
Personal
She received her J.D. from Brooklyn Law School, where she was a member of the Brooklyn Journal of International Law, and her undergraduate degree from the University of Rochester.
