The Corporate and Commercial team is led by partner Alfred Leung and its recent deals include:

  • Advised Sinohope Technology Holdings Limited (Hong Kong Stock Exchange stock code: 1611), on its HK$260 million acquisition of a Japan-based cryptocurrency trading business, BitTrade Inc. The transaction constituted a very substantial acquisition and connected transaction, and involved the issuance of consideration shares under specific mandate.
  • Advised Tam Jai International Co. Limited (Hong Kong Stock Exchange stock code: 2217) on its successful privatisation by Japan’s Toridoll Holdings Corporation (TYO: 3397). This significant take-private transaction was structured as a scheme of arrangement under section 673 of the Hong Kong Companies Ordinance (Cap. 622).
  • Advised Sinohope Technology Holdings Limited (Hong Kong Stock Exchange stock code: 1611) on its HK$275.6m subscription of new shares under a specific mandate. The matter involved connected transaction compliance, drafting of announcements and circulars, structuring of use-of-proceeds and shareholding analysis. The funding supports virtual asset business expansion and working capital.
  • Advised China Orient Asset Management (International) Holding Limited in a HK$290 million funded participation transaction. In this arrangement, the AMC acquired 100% participation interest in a portfolio of secured loans from a reputable financial institution.
  • Advised China Kingstone Mining Holdings Limited (stock code: 1380) on the formulation of its new share award scheme and grant of 23,300,000 award shares to an executive director.

*** Restructuring and Insolvency

The Restructuring and Insolvency team is led by partner Davyd Wong and its recent cases include:

  • Acted for the Petitioner in the liquidation of China Properties Group Limited (in liquidation) (“CPG”), a Mainland property developer headquartered in Hong Kong and whose shares are listed on the main board of the Hong Kong Stock Exchange).
  • Advised and assisted the Liquidators of CPG in defending challenges to their appointment and anti-suit injunctions in Hong Kong, in Mainland China and offshore jurisdictions with the team working closely together with counsels in various jurisdictions to successfully fend off these challenges.
  • Acted for the Petitioner in the winding up application against Paul Y. Construction Company Ltd to work with the Provisional Liquidators of Paul Y to continue projects and maximise returns for creditors.
  • Acted for the Trustees in Bankruptcy to challenge debtor's transfer of equity interests to associates and to unwind pre-bankruptcy transactions for substantial recoveries to the benefit of creditors.

***Dispute Resolution

The Dispute Resolution team is led by partner James Yeung and its recent cases include:

  • Acted for a minority shareholder in successfully opposing a stay application of an unfair prejudice petition despite the existence of an arbitration clause.The team also recovered HK$1M in costs from the respondents.
  • Acted for Majestic Plan International Limited and Profit Reach Ventures Limited in successfully securing a monetary judgment of over HK$890 million, along with interest accrued since 2019, against Ji Changqun, who was once on the Forbes’ World’s Billionaires List and currently serves as the chairman, chief executive officer and executive director of Fullshare Holdings Limited, a listed company in Hong Kong.
  • Acted for Mao Junjie, a celebrity, and her daughter, to assert a trust arrangement preventing a substantive insurance policy from falling into the bankrupt estate of the father of Mao’s daughter, the former Chairman and executive director of Carnival Group International Holdings Limited, a listed company in Hong Kong. The team successfully obtained an interim injunction restraining the bankrupt and trustees from dealing with the insurance policy, and by vigorously continuing the claim, the team successfully protected our client’s interests.
  • Acted for Xin’An County Water Development Group Co., Ltd, a PRC state-owned company’s subsidiary and an issuer of RMB500 million guaranteed notes, in a dispute with the subscriber, placing agent and settlement agent of the notes. The team advised on the underlying documents, the redemption and cancellation of the notes and were engaged in the liaison and negotiation with all relevant parties. The team successfully facilitated a settlement agreement in time to avoid further defaults.
