Firm Overview:
Founded in 1931, Weil, Gotshal & Manges LLP has been a preeminent provider of legal services for over 90 years. With approximately 1,100 lawyers in offices on three continents, Weil has been a pioneer in establishing a geographic footprint that has allowed the firm to partner with clients wherever they do business. The firm’s four departments, corporate, litigation, restructuring, and tax, executive compensation and benefits, and more than two dozen practice groups are consistently recognised as leaders in their respective fields.

Main Areas of Practice:

Restructuring:
Weil is one of the leading Restructuring firms in the world, consistently at the forefront of innovative restructurings. The reason is simple. Weil invented much of what has become standard practice in the restructuring field. For more than 45 years, Weil has played a pivotal role in defining this field by offering creative, practical and thoughtful solutions for its clients on both the debtor and creditor side. Weil’s global restructuring department comprises more than 100 dedicated lawyers, including a significant number recognised as leaders in their field. The largest, most complex and most important restructuring matters in history require a truly international firm that can handle all aspects of the restructuring process in the United States, Europe, Middle East and Asia.

M&A:
With more than 600 corporate lawyers across the US, Europe and Asia, Weil is regularly involved in the largest and most complex transactions in the world. The firm regularly ranks among the top-ten firms globally for volume of M&A transactions. Over the last five years, Weil has handled more than 1,900 deals totaling more than $3 trillion in deal value. In the last year alone, Weil has advised on more than 100 transactions larger than $1 billion for clients in a range of sectors and geographies.

Private Equity & Fund Formation:
Weil’s Private Equity practice is recognised by the industry as being one of the elite, market leaders in this field. Its clients include many of the highest-profile private equity funds, sovereign wealth funds and pension funds, as well as family offices and other equity financial investors. With more than 200 private equity lawyers worldwide, Weil advises more than 300 private equity clients, including 8 out of the 10 largest global private equity funds and 80% of the top 25 largest global private equity funds as ranked by PEI 300 2021. Weil’s Private Funds practice is fully integrated with its transactional practice, allowing it to provide comprehensive support for all clients.

Finance:
Weil’s global finance team comprises lawyers in its banking & finance, capital markets, and structured finance & derivatives practices in many of the world’s key financial centers, including New York, Dallas, Silicon Valley, London, Paris and Frankfurt. Weil’s broad-based banking & finance practice advises corporate borrowers, financial institutions and private equity sponsors on many of the world’s most significant and innovative financing transactions. Its capital markets practice represents both issuers and underwriters on all types of public and private debt and equity offerings. The firm’s structured finance & derivatives practice has a long track record of developing cutting-edge structures at the forefront of the marketplace and has deep experience in the establishment of CLO/CDO vehicles.

Litigation:
Weil’s global litigation department provides clients with integrated and innovative legal advice in all major substantive areas of the law. Its multidisciplinary, trial-ready approach helps clients manage risk across jurisdictions and geographies at every stage of the dispute resolution process and before courts, arbitration tribunals and regulators in jurisdictions around the globe. Weil partners with the world’s leading corporations and financial institutions, and their executives, boards, and directors, to handle all aspects of their disputes, including trial. With more than 350 litigators worldwide, the firm excels in multi-jurisdictional corporate and commercial litigation, cross-border regulatory investigations, IP litigation, significant international arbitrations, shareholder and transactional disputes, tax controversy, and crisis management and risk mitigation.

Tax:
Weil’s global tax practice houses 50 lawyers who regularly work with multinational clients and private equity sponsors to navigate the often complex tax aspects of mergers and acquisitions and other sophisticated transactions. With tax lawyers across the US, London, Paris, Munich and Frankfurt, the firm delivers innovative, comprehensive and tax-efficient solutions on every type of domestic and cross-border transaction presenting significant tax issues, including complex M&A; private equity and fund formation matters; restructurings and recapitalisations; securitisations; real estate and REITs; and capital markets and other financing matters.

Executive Compensation & Employee Benefits:
The executive compensation & benefits practice at Weil advises clients globally on the legal and financial risks associated with compensation and benefit arrangements that arise in M&A, private equity, private funds and restructuring transactions — many of which require sensitive issues for senior management, transition planning and compensation. Weil’s executive compensation and benefits lawyers are strategically located in the US and the UK.

Pro Bono:
Weil’s award-winning pro bono practice implements the firm’s deeply held belief that contributing to the legal representation of the less fortunate and unjustly treated in our society is among the highest values a law firm can hold. This is mirrored in the firm’s goal of having all lawyers perform 50 hours of pro bono work every year, the expectation that every partner work on a pro bono matter every year, and the requirement that every new attorney take on a pro bono matter. During the past decade, Weil has performed more than 900,000 hours of pro bono work and has had a meaningful effect on thousands of lives. The firm has been widely recognised for its commitment to pro bono, ranking among the best firms for pro bono in the U.K. by Legal Week in 2020 and named Best International Firm for Pro Bono by Euromoney Americas Women in Business Law Awards in 2018.
